Business Listing Terms

1. Who we are

Perkie is operated by Sell2Cell Limited trading as Perkie ("Perkie", "we", "us", "our"), New Zealand.

Perkie is a promotional and rewards platform that helps local New Zealand businesses connect with members through listings, offers, Perkie Points, and optional booking features such as Perkie Moments.

2. Acceptance

2.1 By creating a business listing, ticking acceptance during signup, using PerkieAI tools, publishing an offer, or activating your listing, you agree to these Business Terms.

2.2 If you sign up on behalf of a business, you confirm you are authorised to bind that business to these Business Terms.

2.3 We may update these Business Terms from time to time. We will publish changes on this page with a revised "Last updated" date. Continued use of your listing after changes means you accept the updated Business Terms.

3. Free listing

3.1 A standard Perkie business listing is free. There is no cost to register your business or maintain a basic listing on Perkie unless we clearly tell you otherwise before you sign up for a paid feature.

3.2 Optional paid products or upgrades (for example, enhanced listing features) may be offered from time to time. Any fee, billing cycle, and cancellation rules for a paid feature will be shown before you purchase it.

3.3 Free listing access does not guarantee any minimum number of views, redemptions, bookings, or commercial results.

4. Eligibility and accurate information

4.1 You must be at least 18 years old and legally able to enter into these Business Terms.

4.2 You must provide accurate, current, and complete business information, including business name, address, contact details, category, and trading status.

4.3 You must have the right to list the business and to use any photos, logos, trade marks, or other content you upload or approve for the listing.

4.4 You agree to keep your listing details up to date and to notify us if ownership, contact details, or material trading information changes.

4.5 We may decline a new registration, pause a listing, or request further verification if information appears incomplete, misleading, duplicated, or inconsistent with public records.

5. Verification and activation

5.1 Your listing may remain in draft or pending status until Perkie completes reasonable verification checks. We may contact you to confirm details, ownership, or trading status.

5.2 Once verified, you choose when to activate or publish your listing. Your business will only appear to members on Perkie after activation (or after our team publishes it where that process applies).

5.3 We may refuse activation, suspend a live listing, or require edits where content appears inaccurate, non-compliant, misleading, or harmful to members or the Platform.

6. Your listing content

6.1 You are responsible for all content associated with your listing, including descriptions, photos, opening hours, offers, terms, fine print, and responses to reviews or enquiries.

6.2 Content must be truthful, not misleading under the Fair Trading Act 1986, and must not infringe anyone else's intellectual property, privacy, or other legal rights.

6.3 You must not upload unlawful, offensive, defamatory, deceptive, or harmful material, or content that impersonates another business or person.

6.4 We may edit, hide, or remove listing content that breaches these Business Terms, our Platform rules, or applicable law, or that we reasonably consider inappropriate for members.

6.5 You grant Perkie a non-exclusive, royalty-free licence to use, display, reproduce, adapt, and promote your listing content on the Platform and in reasonable marketing related to Perkie, for as long as your listing is active and for a reasonable period afterwards for archival, audit, or legal purposes.

7. Offers, promotions, and member redemptions

7.1 You control the offers and promotions you publish on your listing, including discount type, eligibility, expiry, fine print, and availability.

7.2 You must honour valid Perkie offers exactly as published, subject to any clearly stated conditions shown to members before redemption.

7.3 Offers must comply with New Zealand law and industry rules. This includes restrictions on alcohol promotions. Perkie does not permit illegal discount structures or complimentary alcohol offers through the Platform.

7.4 Unless your offer clearly states otherwise, offers cannot be combined with other discounts, in-house specials, or third-party promotions.

7.5 Perkie Points awarded to members when they redeem or visit are funded by Perkie's member programme, not by your business, unless we clearly state a different arrangement for a specific campaign.

7.6 Perkie facilitates discovery and promotion but is not the seller of your goods or services. The contract for supply is between you and the member, subject to your offer terms and applicable law.

8. PerkieAI and automated tools

8.1 Perkie may provide AI-assisted tools ("PerkieAI") to help draft listing descriptions, suggest offers, categorise businesses, or prepare draft listings (including through campaigns such as Ready Set Go).

8.2 PerkieAI may use information you provide, information from your public business profile, and publicly available business details to generate suggestions. Output may be incomplete, outdated, or incorrect.

8.3 AI suggestions are starting points only. You must review, edit, and approve all content before it goes live. You remain fully responsible for the accuracy and legality of anything published under your listing.

8.4 You must not rely on PerkieAI as legal, financial, marketing, or compliance advice. If you are unsure whether an offer or description complies with law or industry rules, seek your own advice before publishing.

8.5 We may change, limit, or withdraw PerkieAI features at any time. We do not guarantee uninterrupted availability or a minimum quality level for AI-generated suggestions.

9. Reviews and member content

9.1 Members may leave reviews, ratings, or other feedback about your business where that feature is enabled.

9.2 We do not guarantee that all reviews will be positive or that we will remove reviews simply because you disagree with them, but we may moderate content that breaches Platform rules or law.

9.3 You must not offer incentives that improperly influence reviews, post fake reviews, or attempt to manipulate ratings.

10. Communications

10.1 By listing on Perkie, you agree we may contact you by email, phone, or SMS about your listing, verification, offers, campaigns, product updates, and support matters.

10.2 Marketing messages will include a way to opt out where required by law. Operational messages about your account or listing may still be sent even if you opt out of marketing.

11. Leave anytime

11.1 You may deactivate or request removal of your business listing at any time through your account or by contacting us.

11.2 Deactivation stops new member activity through your listing, but limited records may be kept for audit, fraud prevention, dispute handling, and legal compliance.

11.3 We may suspend or terminate a listing immediately where we reasonably believe there is fraud, serious misrepresentation, repeated member complaints, legal risk, or breach of these Business Terms.

12. Platform changes and availability

12.1 We may modify, suspend, or discontinue any part of the Platform, including listing features, PerkieAI tools, points rules, or campaign programmes, with or without notice.

12.2 We do not guarantee uninterrupted or error-free access to the business portal or member-facing listing pages.

13. Privacy

Personal and business information you provide is handled under our Privacy Policy and applicable New Zealand privacy law. You must also comply with privacy law when handling member information you receive through Perkie.

14. Intellectual property

14.1 Perkie owns or licenses the Platform, branding, software, and underlying technology. These Business Terms do not transfer any ownership of Perkie intellectual property to you.

14.2 You must not copy, scrape, reverse engineer, or misuse Platform materials except as permitted by law or with our written consent.

15. Disclaimers

15.1 To the extent permitted by law, the Platform and PerkieAI tools are provided on an "as is" and "as available" basis.

15.2 We do not warrant that listing on Perkie will produce any particular level of sales, bookings, foot traffic, or return on investment.

15.3 We are not responsible for member conduct, third-party platforms you link to, or events at your premises beyond our role as a promotional platform.

16. Limitation of liability

16.1 To the maximum extent permitted by law, Sell2Cell Limited is not liable for indirect, incidental, special, or consequential loss arising from your listing or use of the Platform, including loss of profits, revenue, goodwill, or data.

16.2 Nothing in these Business Terms excludes or limits rights or remedies that cannot be excluded under the Consumer Guarantees Act 1993, Fair Trading Act 1986, or other non-excludable New Zealand law.

17. Indemnity

You agree to indemnify Perkie and its officers, employees, and contractors against claims, losses, costs, or liabilities arising from your listing content, offers, breach of these Business Terms, or breach of law, except to the extent caused by our wilful misconduct.

18. Governing law and contact

18.1 These Business Terms are governed by the laws of New Zealand. Disputes are subject to the jurisdiction of New Zealand courts unless otherwise required by law.
